OpenAI has announced it will retain nonprofit oversight of its operations, reversing its earlier plan to convert its for-profit subsidiary into a public benefit corporation (PBC). This decision follows considerable public and legal scrutiny, including a lawsuit filed by co-founder Elon Musk, who contended that the company had strayed from its mission to develop artificial general intelligence (AGI) for the benefit of humanity.

In a statement, OpenAI CEO Sam Altman reaffirmed the organisation’s commitment to its founding goal of ensuring AGI benefits all humanity. To address concerns, OpenAI has restructured its for-profit subsidiary into a PBC governed by a board appointed by the nonprofit. This hybrid model seeks to balance the need for capital investment with the organisation’s mission-driven objectives.

The restructuring plan is presently under review by the attorneys general of California and Delaware, who are assessing whether the new structure sufficiently protects the nonprofit’s interests and complies with state laws regulating nonprofit organisations. Advocacy groups have also raised concerns about potential mission drift and are calling for rigorous legal scrutiny.

Despite the controversy, OpenAI maintains that the updated structure will strengthen its ability to fulfil its public-interest mission while engaging transparently with stakeholders. The organisation has confirmed it will continue prioritising safety and ethical considerations in its development of AGI technologies.

As OpenAI advances with its revised governance model, it faces ongoing challenges in balancing commercial interests with its dedication to societal benefit. The results of the regulatory reviews and the company’s capacity to maintain public trust will be crucial in shaping the future direction of its mission and operations.
